By using the site or any part of it, you agree that you have read these Terms and Conditions and that you accept and agree to be bound by them.
1.1 In these Terms and Conditions the following definitions shall apply:
a. “Company” shall mean TMF Company Limited.
b. “Tmf.hk” shall mean the site operated by the Company.
c. “Legal Notice and Disclaimer” shall mean the legal notice and disclaimer applicable to the Tmf.hk service.
e. “Customer/Customers” shall mean you and all other persons who purchase the products under your Login.
f. “Login” shall mean a Customer’s personal password and access to Tmf.hk under that Customer’s registration.
g. “Price” shall mean the price of a product or service on the day of order.
h. “Product/Products” shall mean any and all the products or service for sale on Tmf.hk.
1.2 All Products sold by Tmf.hk through this site are subject to these Terms and Conditions. By submitting your order for processing at Tmf.hk, you confirm that you have read, understood and agreed to the Terms and Conditions prevalent at the time your order is submitted for processing.
1.3 These Terms and Conditions should be read in conjunction with the Legal Notice and Disclaimer and the Private Policy Statement and shall prevail over any other document.
1.4 The Customer agrees to provide the complete and updated information for registration on this site. For credit card payment registration, the Customer shall provide the Company with accurate and complete credit card information and represents and warrants to the Company that his use of the credit card (details of which have been supplied) is authorised and legal.
1.5 The Company has the absolute discretion to refuse registration of a potential Customer and to terminate the registration of any Customer for any reason whatsoever.
1.6 The Customer agrees to pay for every order made and agrees to indemnify the Company for all claims, loss and damages whatsoever made by any third party arising from the actions of a person placing orders for the Products using the Customer’s Login. The Customer shall be responsible for updating his registration information including his credit card particulars with the Company. The Customer shall be responsible for notifying his bank of any changes to his record, or loss, theft or unauthorised use of his credit card.
1.7 the Company shall make every effort to fulfill orders placed by Customers through Tmf.hk, but shall not be liable to any person if the Company shall decline or become unable to fulfill an order for whatever reason, including supply shortage or supply modification.
1.8 Notwithstanding the provisions of clause 1.7, the Company reserves the right to decline any order it may, in its sole opinion, consider unreliable for credit reason or otherwise.
1.9 Customers can access Tmf.hk by using a personal password. The Company shall not be responsible for any offline password management and the Customer shall ensure that his password is kept strictly confidential to prevent unauthorised use. The Company shall use its best endeavours to prevent any unauthorised entry to Tmf.hk. However, the Company shall not be liable for any loss or damages whatsoever if any third party gains unauthorised access to the Tmf.hk site using Customer’s Login.
1.10 All orders are subject to the Company’s acceptance at its sole discretion and stock availability.
2.1 Products on this site are subject to availability and may be withdrawn at any time without prior notice.
2.2 The Company shall make every effort to ensure the accuracy of Product pictures and written descriptions but pictures and/or written description of Products on this site may not correspond exactly to the physical Products.
3.1 The Company shall make every effort to ensure that prices, details and sizes of Product details on Tmf.hk are updated but the Company reserves the right to vary the price and other details of the Products without notice.
3.2 The prices advertised on the Tmf.hk are for shopping on Tmf.hk only. The price of certain Product is subject to market fluctuation and is offered for guidance or reference only. The final selling price will be subject to order confirmation by the Company.
3.3 In case of discrepancies between the on-line order records and the final sales memo issued by the Company, final sales memo shall prevail.
3.4 The Company may from time to time set credit limits for Customers and the Company reserves the right to limit sales.
4.1 Payment for Products ordered through Tmf.hk can be made by credit card (Visa, MasterCard or Discover), balance in PayPal account or member reward points of Pricerite Stores Limited.
4.2 Gift certificates of Pricerite Stores Limited are not applicable to orders through Tmf.hk.
4.3 The Company may change at any time the payment method for Tmf.hk without prior notice.
5. VARIATION OF ORDER
5.1 No variation of order will be accepted once the order is submitted on Tmf.hk.
5.2 The Company reserves the right to charge the Customer an administration fee in case the Company accepts the request from Customer to vary.
5.3 If the Customer requests a variation to the order which the Company accepts then the price payable for the order will be adjusted accordingly to reflect the variation and shall be recorded on the final sales memo.
6.1 Title to the Products shall remain vested in the Company until the Company received full payment of the price. Risk of the Products shall pass to Customer upon delivery of the Products.
7. RETURN POLICY
7.1 Refund and exchange will not be accepted for all purchased Products via Tmf.hk.
8.1 The liability of the Company (to the extent permitted by law) whether in contract, tort or otherwise for any loss, damage or injury arising directly or indirectly from any defect in or non-compliance of the purchased Products or any other breach of the Company’s obligations hereunder shall not in any event exceed an amount equivalent to the price of the purchased Products on the sales memo.
8.2 The Customer shall ensure that the purchased Products are not used for any purpose for which they are not suitable and shall be responsible for using all necessary skill and care in handling and using the purchased items. The Customer expressly acknowledges and agrees that the Company assumes no obligation or liability for any advice or information given with the purchased Products and the Company shall not be responsible for any inaccuracy or misstatement of any such information. The purchased Products shall be accepted by the Customer entirely at the Customer’s own risk.
8.3 The Company assumes no responsibility and should not be liable for any damage or loses arising out of transmission error or delay in transmission via internet or delay or omission in processing of Customers’ order.
8.4 Any failure or delay in exercising any right, power or remedy contained in the Terms & Conditions by the Company shall not be deemed to be a waiver of such and any other right, power or remedy.
9. FORCE MAJEURE
9.1 If the performance by the Company of its obligations is prevented by reason of “force majeure” (which shall include without limitation to prevention occasioned by fire, casualty, accident, act of God, natural disaster, any law, order, proclamation, regulation, demand or requirement of the Government of the Hong Kong Special Administrative Region or of any of its government agencies, strikes, labour disputes, shortage of labour or lack of skilled labour, shortage or unavailability of items or raw materials, delay in transit or other causes whatsoever (whether similar to the foregoing or not) beyond the reasonable control of the Company), the Company shall be excused from such performance to the extent of such prevention, and the Company shall have no liability whatsoever towards the Customer.
10. VARIATION OF TERMS AND CONDITIONS
10.1 The Company reserves the right to to cancel or vary these Terms and Conditions in accordance with the law without prior notice. Customer is reminded to review the Terms and Conditions prior to submitting any order. Once an order is placed, Customer is deemed to have accepted the Terms and Conditions prevalent at the time.
11. PREVALING LANGUAGE
11.1 These Terms and Conditions are written in both English and Chinese. In case of inconsistency, the English version shall prevail.
12. APPLICABLE LAW
12.1 These Terms and Conditions shall be constructed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”) and in case of dispute the Customer and the Company shall submit to the exclusive jurisdiction of the courts of Hong Kong.
